The following Terms and Conditions govern the 123RF “Search & Win” contest (hereafter “The Contest”) which runs on www.123rf.com from September 22, 2008 till December 20, 2008 by 123RF Limited (hereafter “123RF”).

By participating in this Contest, the Participants hereby expressly agree to be bound by these Terms and Conditions, the decisions of the Contest judges, and the Participants hereby give their consent to and authorise 123RF to disclose their particulars to the third party service providers engaged by 123RF for the purpose of prize delivery. 123RF warrants that the disclosure of such particulars to any third party service providers shall be limited to the Participant's name, address and telephone number and shall be used only in relation to and for the purposes of the Contest.

1. “Referrer” - A registered member of 123RF.com who uses a referral link with a unique ID to refer a friend to 123RF.com.
2. “Referred Friend” - A visitor who clicks on a Referrer's referral link and subsequently signs up for a 123RF.com user account.
3. “Contest” - 123RF.com's Seach & Win Contest.
4. “Thumbnail” - A scaled down image of the original large sized image.

1. 123RF's “Search and Win” Contest runs from 12.00 am CMT September 22, 2008 till 12 am CMT December 20, 2008 (hereafter “The Contest Period”).

1. Participants of the Contest may win prizes in two (2) ways:
   1. Method 1: Performing a Search
      1. Owners of a 123RF account performs a search using 123RF's Basic or Advanced Search tool.
      2. 123RF's Search Engine will usually list thumbnails related to the search parameters given.
      3. Lucky members will be shown a special thumbnail of the eligible prize(s) which will appear at random times every day.
      4. Lucky members must click on the thumbnail to access the prize claim form.
      5. The lucky member must fill up the prize claim form with the correct contact particulars for shipping (for the Wacom Bamboo) to claim the prize.
      6. If members fail to click on the thumbnail to claim the prize, it will be recycled into the system and will be displayed at random after 1 hour of the unclaimed appearance.
   
   
   2. Method 2: As a Referrer
      If the Prize Winner is referred by another 123RF Member (the “Referrer”), the Referrer shall also receive the same prize as the one claimed by the Prize Winner (see above). Referrers may use the following methods to help refer friends or visitors:
      1. 1.The Referrer uses 123RF's Referral Program to encourage visitors to sign up as a referred friend.

1. Prizes shall be delivered to the respective Contest winners to their contact addresses as provided upon account registration for 123RF.com, between six (6) to eight (8) weeks after winners are announced.
2. 123RF reserves the right at its absolute discretion to substitute the prize with another prize of equivalent or greater retail value without prior notice if the prize is out of stock, undeliverable or not available in the countries concerned.
3. Prizes are not exchangeable for cash, credit or kind.
4. Ownership of the Prizes and any risk of loss or damage to the Prizes passes to the Prize-winners upon physical or electronic (where applicable) delivery of the Prizes to the Prize-winners.
   1. 123RF shall not be liable for or obliged to recognise or replace any defective, lost, damaged or stolen Prizes where such defect, loss, damage or defect in respect of the Prizes is due to the fault and/or negligence of the Contest winners.
   2. 123RF shall bear no responsibility for any inherent defect(s) in the Prizes, or for any loss or damage arising therefrom.
   3. All Contest prizes shall bear their respective manufacturer's or supplier's warranty where applicable.
5. 123RF.com will not ship prizes to any other location other than United States of America, United Kingdom, Malaysia, Singapore and Hong Kong.

1. Participants of the Contest must have registered for a 123RF.com user account with proper registration and contact details.
2. The Contest is open to residents (above 18 years of age) of the following countries: United States of America, United Kingdom, Malaysia, Singapore and Hong Kong.
3. Employees of 123RF Limited, Inmagine Corp LLC, its competitors, representatives and/or agents (including advertising and promotion agents) of 123F and their immediate family members are not eligible to take part in the Contest.
4. In the event that a Prize is won by a person who:
   1. is not eligible to be a Participant in the Contest;
   2. has committed or is suspected of committing any programmatic, automated, fraudulent or wrongful manipulation in relation to their use of 123RF.com and its contest mechanics;
5. 123RF reserves the right to disqualify such person(s) from participating in the Contest and/or from winning any of the Prizes.

1. 123RF's decision on all matters relating to the Contest will be final and binding on all Participants.
2. 123RF reserves the right at its absolute discretion to vary, delete or add to any of these Terms and Conditions from time to time without prior notice.
   1. These Terms and Conditions may be modified, added to, deleted or varied by 123RF by way of posting on the Website, or in any other manner deemed suitable by 123RF.
   2. The Participants agree to access the Website at regular intervals of time to view these Terms and Conditions and to ensure that they are kept up-to-date with any changes or variations to these Terms and Conditions.
   3. The Participants agree that continued participation in the Contest shall constitute their acceptance of these Terms and Conditions (as modified and varied from time to time).
3. The online version of these Terms and Conditions prevail over any provisions or representations contained in any email, brochure or other promotional materials advertising the Contest.
4. 123RF reserves the right to cancel, terminate or suspend the Contest with or without any prior notice. For the avoidance of doubt, cancellation, termination or suspension by 123RF of the Contest shall not entitle the Participants to any claim or compensation against 123RF for any and all loss or damage suffered or incurred by the Participants as a direct or indirect result of the act of cancellation, termination or suspension.
5. If there should be any inconsistencies between the English and other language versions of these Terms and Conditions, the English version of these Terms and Conditions will prevail.
